BOARD OF DIRECTORS MEETING MINUTES
August 10th, 2004

Frank Dean called the meeting to order at 7:05 pm via teleconference.

Attendees:
Frank Dean, Gene Miesse, Buck Mann (Mann Properties), Anne Giannelli, Bob Siskind, George Hanks, Marci LaRue and Tom Chmiola.

Board members absent:
Louie Napoli

Reading and approval of the 7/13/2004 CDS Board meeting minutes:
Motion:

A motion to waive reading and approve the minutes from the 7/13/2004 board meeting was made by Bob Siskind and seconded.
The motion passed unanimously.

Review of Financial Results:
Buck Mann (Mann Properties) confirmed the Checking, Savings and Accounts Receivable account balances: Checking - $60,056.88, Savings – $158,462.28 & A/R - $8,946.49. Unit 646 (Krug), Unit 704 (Antonini), Unit 714 (Schatz) Unit 720 (Fornwald) and Unit 770D (Harrod) are in arrears.

Frank Dean request ed that Buck move $40,000.00 from Checking to Savings to bring the checking balance in line with our $20,000.00 objective. Buck said he would see to it that the transfer was completed.

Canal Side Repairs/Maintenance Project:

Frank Dean reported that Walt Smelter (C/W Construction) is now in process of moving to the 600 Building. We are currently running under budget for the project.

Frank noted that now that the 700 Building has been completed there are some unit owner financial issues to be resolved.

•  Reimbursement for the costs of any doors or windows that were not replaced. Estimated reimbursement: $1,500.00 for each Slider & $500.00 for each window.

•  Charges to the unit owners for special work required for Hurricane Shutters. Estimated cost: $384.00

•  Charges to the unit owners for special work required for 3 rd floor decks that already existed and did not meet the current specifications. Estimated cost for each deck: $2,800.00.

Frank will check for the exact costs for these items and report to the board.

Frank will prepare a short “How-To” video for unit owners to show them how they can insulate the interior around the new doors and windows to minimize air infiltration. The video will also recommend the proper materials to use to avoid problems with the door and window frames.

Roof Assessment:
Bob Siskind reported that a meeting with Pottinger & Raintree is scheduled for August 17 th , 2004 at 10:00 am in Bob's unit #644. .Frank Dean reported that he is also trying to setup a meeting with Pete Miller a structural engineer who also has an architect in the firm for the same day. The purpose of the meeting with Miller is to investigate the possibility of going to pitched roofs.

Owner Requests:

•  Unit #626 (Hanlon) – Installation of 2 nd floor Slider street side and both windows on the 3 rd floor street side.
Motion:
A motion to approve the request, pending receipt of the owner's approval of the Casa Del Sol Condominium Association requirements for change/alteration/improvement was made by Bob Siskind and seconded.
The motion passed unanimously. Margie Rus (Mann Properties) will notify the unit owner(s) of the board's action and send them a copy of the CDS Condominium Association change/alteration/improvement form for their approval and return to Mann Properties.

•  Unit # 634 (Conley) – Installation of a third floor canal side balcony and Slider.

Motion:
A motion to approve the request, pending receipt of the owner's approval of the Casa Del Sol Condominium Association requirements for change/alteration/improvement was made by George Hanks and seconded.
The motion passed unanimously. Margie Rus (Mann Properties) will notify the unit owner(s) of the board's action and send them a copy of the CDS Condominium Association change/alteration/improvement form for their approval and return to Mann Properties.

Old Business:

•  Casa Del Sol Web Page:

Tom Chmiola reported that all requested changes had been made and that the web page is ready to go. Frank Dean congratulated Tom on the implementation and said he would contact Margie Rus (Mann Properties) and have her notify the membership.

•  Electric outlets on the dock lights circuit:

Even though the board had approved Patchet Electric to perform the upgrade to the dock lights last month, a new service, Thomco Electric, is now present in Ocean City and we asked them to make a proposal as well. Patchet Electric's bid was for $1,791.60 and Thomco Electric's bid was for $2,321.00.

Motion:
A motion to have Patchet Electric perform the required work on the dock lights was made by Anne Giannelli and seconded.
The motion passed unanimously. Margie Rus (Mann Properties) will contact Patchet Electric to have the work done. Patchet will also repair or replace any defective dock lights in the process. Work will begin on the 700 Building but all buildings (600 & 770) will be serviced.

New Business:

•  Anne Giannelli asked the board to consider changing the meeting date from the 2 nd Tuesday of each month due to a conflict with her schedule. After some discussion it was decided that the 2 nd Wednesday would work for everyone.

•  Review of Arrears Process. Gene Miesse requested that the Arrears Process be reviewed since late letters were not being sent in accordance with the procedure. The procedure had been written with the understanding that the bank was forwarding the receipts to Mann Properties on a daily basis. If that were the case there wouldn't be any reason why the late letter shouldn't be mailed on the 17 th of the month. Recently the late letters were not mailed until the 28 th of the month and the reason given was that Mann Properties had to wait for the bank to forward the information. Buck Mann (Mann Properties) said he would check with the bank and get the problem resolved.

•  Unit 658 ( Brzezinski) has again placed his utility trailer in a condo parking space.

Motion:
A motion to notify the owner of the rules violation and the potential fines for continued violations was made by Gene Miesse and seconded.
The motion passed unanimously. Margie Rus (Mann Properties) will notify the Unit owner ( Brzezinski) of the violation and subsequent fines for continued violations. A copy of the rules and regulations highlighting the trailer parking ban will be included in the correspondence.

•  Unit 732 ( Santos ) and Unit 716 (Chmiola) have reported roof leaks. Buck Mann (Mann Properties) advised that Pottinger and Raintree were scheduled to make the repairs.

Next Board Meeting:

The next board meeting is scheduled for Wednesday September 8 th , , 2004 at 7:00 pm .

On a motion to adjourn by Anne Giannelli, Frank Dean adjourned the meeting at 8:16 pm .
